3. Payment Terms

4. Intellectual Property

• License: Upon full payment, the client receives a license or ownership rights as specified in the project agreement.

• Third-Party Tools: Any third-party software or libraries used in the project are subject to their own licensing terms.

• Both parties agree to keep sensitive information confidential.

• Confidential information includes project specifications, source code, business data, or any other non-public information exchanged during the project.

6. Warranties & Limitation of Liability

• We aim to deliver high-quality services but cannot guarantee error-free software or uninterrupted service.

• Mento Software Ltd is not liable for indirect, incidental, or consequential damages, including data loss, business interruption, or third-party claims.

• Liability for direct damages is limited to the total amount paid for the specific project.

• Either party may terminate a project with written notice.

• If terminated by the client, fees for completed work and incurred costs are payable.

• Mento Software Ltd reserves the right to terminate if project requirements are unreasonable, payments are overdue, or client cooperation is lacking.
